Dream Finders Homes has completed its all-cash deal for Beazer Homes, a $2.2 billion purchase that makes the Jacksonville company the sixth-largest homebuilder in the United States. Dream Finders Homes announced the closing on Oct. 20, saying Beazer shareholders received $33.50 a share in cash. The Jacksonville, Florida-based builder has grown steadily through acquisitions since its 2021 initial public offering.
The all-cash deal carries an enterprise value of about $2.2 billion. Beazer Homes USA, Inc. became a subsidiary of Dream Finders Homes, and Beazer's shares stopped trading on the New York Stock Exchange before the market opened on Oct. 20. The closing followed shareholder approval on Oct. 15, according to a Form 8-K filed with the Securities and Exchange Commission. Eligible Beazer shares converted into the right to receive $33.50 a share, the filing said.
The acquisition moves Dream Finders Homes into California, Nevada, Indiana and Delaware, four states where it had not previously operated. It also strengthens the company's presence around Washington, D.C., including Maryland, and adds scale in Texas, Florida, South Carolina, North Carolina, Georgia and Arizona. Dream Finders Homes now operates in 26 of the 50 largest metropolitan areas in the country, selling to entry-level and move-up buyers. The deal comes as builders face a challenging housing market, with demand under pressure.
Why Dream Finders Homes bought Beazer
Patrick Zalupski, founder, chief executive and co-chairman of Dream Finders Homes, called the purchase transformative despite a difficult housing market. "Today, Beazer's teams officially join ours, and the real work begins," Zalupski said. "We are closing this transaction in a challenging housing environment, and we are clear-eyed about that." He said the company has been thoughtful in its approach and is confident the deal is the right path. Zalupski said the added scale matters for the company's long-term growth and that management will stay focused on execution rather than outside noise, with long-term shareholder value as the core priority.
Zalupski said the company's first job is to move Dream Finders Homes floor plans into Beazer's communities, matching homes to what buyers can afford, while using its bigger scale to cut construction costs and build faster. "This is our ninth acquisition since our IPO in 2021 and by far our largest," he said. "Success is earned one community and one homebuyer at a time." He added that the company is approaching the integration with a clear plan, as it has with each of its earlier purchases.
What the Beazer deal means for Dream Finders Homes
The company expects more than $100 million in annual cost synergies from the combination, along with double-digit earnings accretion in the first year, and plans to return to its current leverage levels within 18 to 24 months. It is the company's ninth acquisition since its 2021 initial public offering and its largest. The combination creates the nation's sixth-largest homebuilder, the company said. The company said greater scale and lower construction costs are among the benefits it expects from the combination.
Rick Beckwitt, the company's co-chairman, said the board's focus now turns to disciplined execution through the housing cycle. Beazer's directors resigned at closing and were replaced by directors of the acquisition subsidiary, while its officers remained in their positions. Beazer repaid amounts owed under its credit agreement and ended the agreement. Funds were set aside with a trustee to redeem $350 million of Beazer's 7.25% senior notes due in 2029. The company also asked the exchange to begin the process of removing its shares from listing.
For Beazer shareholders, the $33.50-a-share cash price closes the company's chapter as an independent public builder. The buyer said welcoming Beazer's teams is only the start, with integration work now underway across the combined communities.
