The Cabinet Committee on Economic Affairs has approved the transfer of 60.72% of IDBI Bank to 10955230 Canada Inc., a unit of Canada's Fairfax Financial Holdings, in a deal worth Rs 52,878 crore. The transaction, priced at Rs 81 per share, is the largest financial sector FDI so far, according to the Finance Ministry.
The approval came on October 14 and was reported this week in Blitz India Media's weekly review. The buyer is a holding company of the Canadian group, and the agreed price values the transferred majority stake at Rs 52,878 crore.
The Cabinet Committee on Economic Affairs is the government's apex body for economic decisions, and its sign-off was the final official step for the transaction. With the approval in place, the deal can now move towards completion, subject to the usual regulatory processes that apply when control of a bank changes hands.
The buyer is identified in the approval as 10955230 Canada Inc., a numbered company serving as the acquisition vehicle for Fairfax Financial Holdings. Numbered holding companies are a standard structure for Canadian acquisitions, and the name gives no hint of the business behind it.
IDBI Bank sale: the deal terms
The headline numbers are straightforward. A 60.72% stake in IDBI Bank changes hands at Rs 81 per share, for a total consideration of Rs 52,878 crore. The acquirer, 10955230 Canada Inc., is a unit of Fairfax Financial Holdings, the Canadian investment group.
The clearance by the Cabinet Committee on Economic Affairs removes the last government-level hurdle. The Finance Ministry has called the transaction the largest financial sector FDI so far, a measure of how rare it is for a foreign investor to take majority control of an Indian bank.
Why IDBI Bank stands out in the deal
Foreign ownership of Indian banks is tightly regulated, and control-changing deals are uncommon. That rarity is what gives the IDBI Bank transaction its significance: a foreign investor taking a 60.72% holding in one stroke is without recent precedent in Indian banking.
Control of a bank changing hands is one of the most sensitive transactions in Indian finance, which is why such deals are few and closely watched. The Finance Ministry's description of this one as the largest FDI in the financial sector puts it ahead of every earlier foreign investment in the sector by value.
For the Canadian buyer, the IDBI Bank holding means a controlling position in an Indian lender. For the government, the approval completes the transfer of its majority stake through the Cabinet Committee on Economic Affairs.
IDBI Bank and the September economy data
The same weekly review carried fresh September data alongside the deal. Consumer price inflation stood at 5.54%, with food inflation at 7.74% and onion prices up 108% year on year. Wholesale price inflation touched a series high of 11.39%.
The numbers show price pressure building on two fronts. Food costs are running well above the headline rate, with onions more than doubling in a year, while wholesale inflation at 11.39% marks the highest reading in the current series.
On the external front, NRI deposits in Indian banks rose by $83 billion in August, even as foreign exchange reserves fell $8.58 billion in the week to October 9. Cleared against that backdrop, the IDBI Bank sale closes at Rs 81 a share.
