The Reserve Bank of India on Friday approved the merger of the Indian branches of Dubai-based Emirates NBD Bank P.J.S.C. with RBL Bank, with the amalgamation taking effect from December 1, 2026. In a press release dated October 16, the central bank said that all the Indian branches of Emirates NBD Bank P.J.S.C. will function as branches of RBL Bank Limited with effect from December 1, 2026. The RBL Bank merger completes one of the largest foreign investments in India's banking sector.
The transaction was first announced in October 2025 and closed after the companies received regulatory approvals and fulfilled the required closing conditions. In May, the Finance Ministry had approved Emirates NBD Bank's acquisition of up to a 74 per cent stake in RBL Bank. The RBL Bank merger follows Emirates NBD's acquisition of a 60 per cent stake in RBL Bank's expanded share capital, completed on June 18, 2026, through a primary capital infusion of about $2.75 billion, or around Rs 26,000 crore.
Emirates NBD acquired the stake through a preferential share allotment of 929.1 million fully paid-up equity shares of RBL Bank at Rs 280 per share, aggregating to about Rs 26,016 crore. The RBI bank merger approval is the final regulatory step, bringing Emirates NBD's Indian branch operations fully under RBL Bank's network.
Emirates NBD received RBI approval to open its first Indian branch in Mumbai in 2016 and began operations in July 2017. It later opened two more branches in Gurugram and Chennai, and has maintained a representative office in India since March 2000. The RBI statement did not specify whether the amalgamation would lead to changes in customer services or other operational arrangements for the Emirates NBD India branches.
Shares of RBL Bank closed 1.10 per cent higher at Rs 378.25 on the National Stock Exchange on Friday following the announcement, reflecting investor approval of the Dubai bank India expansion into the lender's network.
RBL Bank Merger: The Deal So Far
The RBL Bank merger has been structured in stages over the past year. After the October 2025 announcement, the Finance Ministry cleared the path in May 2026 by approving the RBL Bank stake acquisition of up to 74 per cent by Emirates NBD. The June 18 completion of the 60 per cent stake acquisition through a primary infusion gave RBL Bank fresh capital of about Rs 26,016 crore, with the Emirates NBD India branches now being folded into the combined entity from December 1, 2026.
Why the RBL Bank Merger Is a Milestone
Regulators and bankers view the RBL Bank merger as a landmark because of its sheer scale and structure. The RBL Bank stake acquisition of roughly Rs 26,000 crore ranks among the biggest foreign investments in Indian banking, and the use of a primary capital infusion means the money strengthened the bank's balance sheet rather than merely changing hands. The RBI bank merger approval signals continued regulatory openness to well-capitalised foreign banking groups deepening their presence in India through equity participation rather than just branch networks.
What the RBL Bank Merger Means for Customers
For customers of the Emirates NBD India branches in Mumbai, Gurugram and Chennai, the practical change is that their branches will operate as RBL Bank branches from December 1, 2026. The central bank has not indicated any immediate changes to services or accounts. The RBL Bank merger also strengthens the combined network's capacity to serve corporate and retail clients, backed by the capital raised through the preferential allotment. Market watchers will now track how quickly the combined entity integrates operations and whether the Dubai bank India expansion translates into new product offerings for Indian customers.
